1. Scope
Applies to purchases on www.movemarine.com, hosted on Shopify.
2. Orders & Formation
A contract is formed upon shipment confirmation. We may cancel orders for errors, fraud suspicion, or force majeure.
3. Prices & VAT
EU Buyers:

Goods under the Margin VAT Scheme include VAT in the price, but VAT is not deductible by the buyer.

Invoices for margin-scheme goods will bear the notice: "Margin scheme — second-hand goods. VAT not deductible."
Non-EU Buyers:

EU VAT rules do not apply; pricing may be exclusive of VAT.

Buyer is responsible for any import taxes, customs duties, and clearance fees.
4. Delivery & Risk
Risk passes to the buyer on delivery. For B2B, risk passes upon carrier handover.
5. Returns & Warranty
EU Consumers: 14-day right of withdrawal, per Refund Policy.
Non-EU Buyers: No statutory withdrawal right; returns at seller’s discretion.
Warranty: 90-day limited warranty for manufacturing defects; excludes misuse/modifications.
6. Liability
Liability is limited to the purchase price, unless otherwise required by Danish law.
7. Dispute Resolution
Danish courts have exclusive jurisdiction. Consumers may use the EU ODR platform: ec.europa.eu/consumers/odr (EU residents only).

B2B Terms and Conditions:
1. Scope
These Terms and Conditions ("Terms") apply exclusively to sales made by Move Marine ApS ("Company", "we", "us", or "our") to business customers ("Customer").
The Company sells products to both consumers and businesses. However, these Terms apply only where the Customer is acting in the course of business, trade, profession, or commercial activity.
Consumer purchases are governed by separate terms and applicable consumer protection legislation.
By placing an order under these Terms, the Customer represents and warrants that it is purchasing goods solely for business purposes and not as a consumer.
2. Acceptance of Terms
All quotations, offers, sales, deliveries, and agreements are subject to these Terms.
Placement of an order constitutes full and unconditional acceptance of these Terms.
Any terms proposed by the Customer are expressly rejected unless accepted by the Company in writing.
3. Business Customer Status
The Customer warrants that:
- It is acting for business purposes;
- It has authority to enter into legally binding agreements;
- All information provided to the Company is accurate and complete.
The Company reserves the right to request documentation verifying business status and may refuse or cancel orders if such status cannot be reasonably verified.
4. Pricing
Unless otherwise stated, all prices are exclusive of VAT, customs duties, import taxes, brokerage fees, clearance charges, and other governmental or third-party charges.
The Customer is solely responsible for all such costs.
The Company reserves the right to correct pricing errors, technical errors, typographical mistakes, or inaccuracies at any time prior to shipment.
5. Payment Terms
All orders must be paid in full in advance unless otherwise agreed in writing by the Company.
No products will be ordered, sourced, reserved, manufactured, or shipped until cleared payment has been received.
Failure to make payment may result in suspension or cancellation of the order without liability to the Company.
6. Special Orders and Products Sourced on Request
Products sourced, procured, imported, manufactured, customized, or otherwise obtained specifically at the Customer's request are considered Special Orders.
Before procurement begins, the Customer must verify and confirm:
- Product specifications;
- Quantities;
- Compatibility requirements;
- Technical requirements;
- Intended use;
- Delivery expectations.
Once confirmed by the Customer and accepted by the Company, a Special Order becomes final and irrevocable.
Special Orders cannot be cancelled, modified, returned, refunded, or exchanged.
The Company is not responsible for errors in specifications, compatibility issues, incorrect selections, or changes in Customer requirements after confirmation.
7. No Returns – All Sales Final
ALL SALES TO BUSINESS CUSTOMERS ARE FINAL.
The Company does not accept returns, exchanges, cancellations, refunds, credits, or chargebacks for B2B orders except where required by mandatory law.
The Customer expressly acknowledges and agrees that:
- No right of withdrawal applies;
- No cooling-off period applies;
- No return rights apply;
- No refund rights apply due to change of mind, ordering mistakes, project cancellation, compatibility issues, delivery delays caused by third parties, or inability to use the products.
Unauthorized returns may be refused and returned to the sender at the Customer's expense.
8. Delivery
Delivery dates are estimates only and shall not be considered guaranteed deadlines.
The Company shall not be liable for delays caused by:
- Manufacturers;
- Suppliers;
- Freight carriers;
- Ports;
- Customs authorities;
- Government agencies;
- Force majeure events;
- Circumstances beyond the Company's reasonable control.
Risk of loss and damage passes to the Customer upon shipment, collection, handover to the carrier, or delivery, whichever occurs first.
9. Customs, Import Duties, and International Shipments
The Customer is solely responsible for:
- Customs clearance;
- Import permits;
- Import duties;
- Tariffs;
- VAT and taxes;
- Brokerage fees;
- Storage fees;
- Compliance with local laws and regulations;
- Product registrations and approvals where required.
Move Marine ApS shall have no responsibility whatsoever for customs processing, customs delays, customs inspections, customs holds, import restrictions, denied entry, confiscation, regulatory approvals, or related costs.
If goods are refused, abandoned, delayed, seized, returned, or destroyed by customs authorities or governmental agencies, the Customer remains fully liable for the purchase price and all related costs.
No refunds shall be issued in such circumstances.
10. Product Information and Suitability
Product descriptions, images, technical specifications, drawings, dimensions, performance data, and marketing materials are provided for informational purposes only.
The Customer is solely responsible for determining whether a product is suitable for its intended purpose, installation environment, regulatory requirements, and application.
The Company does not guarantee compatibility with any specific system, equipment, vessel, project, or application unless expressly agreed in writing.
11. Inspection and Claims
The Customer must inspect products immediately upon receipt.
Any claim relating to shortages, shipping damage, visible defects, or incorrect deliveries must be submitted in writing within five (5) business days following delivery.
Failure to provide notice within this period constitutes acceptance of the products.
12. Warranty Disclaimer
To the fullest extent permitted by applicable law, all products are supplied on an "as is" and "as available" basis.
Except where mandatory law provides otherwise, Move Marine ApS disclaims all warranties and conditions, whether express, implied, statutory, or otherwise, including warranties of:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Compatibility;
- Performance;
- Availability.
Where a manufacturer warranty exists, any such warranty shall be the sole responsibility of the manufacturer and not of Move Marine ApS.
13. Limitation of Liability
To the maximum extent permitted by law, the total aggregate liability of Move Marine ApS arising from or relating to any order, transaction, product, or agreement shall not exceed the amount actually paid by the Customer for the specific product giving rise to the claim.
Under no circumstances shall Move Marine ApS be liable for:
- Loss of profit;
- Loss of revenue;
- Loss of business;
- Loss of contracts;
- Loss of opportunity;
- Loss of goodwill;
- Downtime;
- Operational interruption;
- Data loss;
- Consequential damages;
- Indirect damages;
- Special damages;
- Punitive damages.
These limitations apply regardless of the legal basis of the claim.
14. Customer Indemnity
The Customer shall indemnify and hold harmless Move Marine ApS, its directors, officers, employees, agents, and affiliates from any claim, liability, damage, loss, penalty, fine, cost, or expense (including reasonable legal fees) arising from:
- The Customer's use, installation, resale, or distribution of products;
- Breach of these Terms;
- Violation of applicable laws or regulations;
- Claims brought by third parties relating to the Customer's activities.
15. Force Majeure
Move Marine ApS shall not be liable for any failure, delay, interruption, or inability to perform due to events beyond its reasonable control, including but not limited to:
- Natural disasters;
- Fire;
- Flood;
- Pandemic;
- Epidemic;
- War;
- Terrorism;
- Government action;
- Labor disputes;
- Supply chain disruptions;
- Transportation failures;
- Utility outages;
- Cyber incidents.
The Company may suspend or cancel performance without liability during such events.
16. Intellectual Property
All trademarks, trade names, logos, website content, technical materials, product descriptions, images, and other intellectual property remain the exclusive property of Move Marine ApS or its licensors.
No rights or licenses are granted except as expressly stated.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Denmark.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Danish courts, with venue at the Company's registered jurisdiction unless otherwise required by mandatory law.
18. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
19. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the subject matter and supersede all prior discussions, negotiations, representations, and agreements.
No amendment shall be binding unless made in writing by Move Marine ApS.
20. Right to Refuse or Cancel Orders
Move Marine ApS reserves the right, in its sole discretion, to refuse, suspend, limit, or cancel any order before shipment for any lawful reason.
Where an order is cancelled by the Company before procurement or shipment, the Company's sole obligation shall be to refund any payment actually received for that order.
21. Consumer Transactions
For the avoidance of doubt, these Terms apply exclusively to business-to-business transactions.
Consumers purchasing products from Move Marine ApS are not subject to these Terms and may have rights under applicable consumer protection legislation that cannot be excluded or limited.
